What the company shared

With reference to the Company's earlier disclosures regarding the proposed sale of its entire stake in Nivetti Systems Private Limited ('Nivetti') pursuant to the Share Purchase Agreement ('SPA') entered into among HFCL Limited (the 'Company'), Trinity Tech Solutions ('Buyer'), and Nivetti, we wish to inform you that pursuant to an Addendum to the SPA executed today, the transaction is now scheduled to be completed on or before December 31, 2026 instead previously communicated date of September 30, 2026. All other points disclosed as per SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, will remain unchanged, as disclosed in our earlier intimations.
