02This is with reference to the prior intimation submitted to the Stock Exchanges under Regulation 10(5) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 (“Takeover Regulations”), dated 23rd September, 2026, in respect of the proposed acquisition of 70,00,000 (Seventy Lakh) Equity Shares of V2 Retail Limited (“Company”) by Mr. Akash Agarwal from Mr. Ram Chandra Agarwal, by way of gift through an off -market inter -se transfer between promoters/immediate relatives, as covered under Regulation 10(1)(a)(i) and (i i) of the Takeover Regulations.

03Further, the transfer could not be processed subsequently due to the freezing of the PAN during the trading window closure period, which commenced from 1st October, 2026 and shall remain closed until 14th November, 2026 or 48 hours after the declaration of the unaudited financial results of the Company fo r the quarter and half year ended 30th September, 2026, whichever is applicable, in accordance with the applicable provisions and the Company's Code of Conduct for Prevention of Insider Trading.
