Appointment of Trustees The Board considered and approved the appointment of the proposed Trustees of Adroit Infotech Employees Welfare Trust for implementation and administration of AIL ESOP-2023 Scheme of Adroit Infotech Limited and noted their consent to act as Trustees, subject to applicable laws and regulatory requirements.

Execution, Stamping and Registration of Trust Deed The Board approved the execution, stamping and registration of the Trust Deed, Trust Rules and Bye- Laws of the Trust and authorized the Trustees/authorized representatives to complete the necessary formalities in this regard.

Registration, Statutory Formalities, Approvals and Filings The Board approved and authorized the Trustees and/or authorized representatives to obtain all necessary registrations, approvals, permissions and filings with the Registrar of Companies, Income Tax Department, Stock Exchanges, SEBI, Depositories , obtaining PAN and other registrations, opening and operating bank accounts and completing all other incidental and statutory formalities and with other such authorities as may be applicable from time to time.

Opening and Operation of Bank Account The Board approved the opening of one or more bank account(s) in the name of “ Adroit Infotech Employees Welfare Trust” with such scheduled bank(s) as may be considered appropriate for the purposes of the Trust and implementation and administration of AIL ESOP-2023 Scheme.
