02This is with reference to our earlier intimation dated August 18, 2026, wherein it was informed that Repro Books Limited (“RBL”), a wholly owned subsidiary of Repro India Limited (“Company”), had entered into a Share Transfer Agreement with the existing shareholders of Repro LLC (“Target Company”) for acquisition of 100% of the equity shares of the Target Company.

03In continuation thereof, we wish to inform that RBL has completed the acquisition of 100% of the Equity Shares of Repro LLC on October 06, 2026, pursuant to completion of the applicable share transfer/registration formalities with SHAMS (Sharjah Media City), UAE and other applicable regulatory/compliance formalities.

04Consequent to the completion of the aforesaid acquisition, Repro LLC has become a wholly owned subsidiary of Repro Books Limited and consequently a step-down wholly owned subsidiary of Repro India Limited.
