We refer to our letter dated July 23, 2026 and September 12, 2026 , informing that Apitoria Pharma Private Limited ("Apitoria"), a wholly owned subsidiary of the Company had acquired 100% stake in A1 Biochem Labs (India) Private Limited (“A1 Labs”), t hus making it a wholly owned subsidiary of Apitoria and a step down subsidiary of the Company.

In continuation to the above and in compliance with Regulation 30 and other applicable provisions of the SEBI LODR Regulations, this is to inform that as part of the terms agreed under the definitive agreements entered into by Apitoria as part of the acquisition of A1 Biochem group , Dr. Rajendra Gadikota, former promoter of A1 Biochem group has subscribed to 89,94,500 equity shares and 2,41,05,500 Compulsory Convertibles Debentures (hereinafter together referred to as ‘Securities’) of A1 Labs equaling to 20% stake (on a fully diluted basis).
