Pursuant to Regulation 30 of the Listing Regulations and SEBI Master Circular dated 11.11.2024, we wish to inform you that: 1.Pursuant to SPA dated 25.02.2026, the promoter has transferred 32700000 (62.29% of the paid up euity share capital)equity shares of our company to the acquirer on 06.10.2026 by way of off market transfer resulting in change in control of the Company.
Pursuant to Regulation 7(1) and 7 (2) of the SEBI (Prohibition of Insider Trading) Regulations 2015 we are submitting herewith the information received by us: in Form C from Mr. Gordhan P. Tanwani, in respect of of change in his shareholding, who has transferred on 6th October, 2026, 32700000 equity shares of our company to M/s Skybridge Interactive LLP by way of off market transfer pursuant to SPA dated 25th February, 2026.
The Exchange has received the disclosure under Regulation 29(2) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011 for Gordhan P Tanwani & Others
Baba Arts Ltd-has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 09/10/2026 ,inter alia, to consider and approve 1. To note of the acquisition of the Promoter's shareholding in the Company by the Acquirer pursuant to the SPA read with the SAST Regulations; 2. To appoint the nominees of the Acquirer as Additional Directors on the Board ; 3. To take note of / accept the resignations tendered by the existing Directors and Key Managerial Personnel 4. To reconstitute the Committees of the Board consequent upon the aforesaid changes; 5. To appoint Managing Director & CFO of the Company; 6. To appoint Internal Auditor for the Financial Year 2026-27; 7. To approve the report of the Board of Directors to the members on the Financials for the year ended on 31st March, 2026; 8. To fix, the date, time and venue/mode of the 27th AGM of the members of the Company and to approve the Notice convening the same, together with matters incidental and consequential thereto and 9. To consider such other matters as may be necessary or incidental to the change in management and control of the Company.
